1. Acceptance of Terms

By accessing or using the website or services of ActiveMarketing.ai ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

ActiveMarketing.ai provides digital marketing, web design and development, media production (including FAA Part 107 Licensed drone aerial photography and video), AI automation, SEO, paid advertising management, social media marketing, email marketing, branding, and related services to businesses throughout Florida and the United States.

3. Client Responsibilities

• Provide accurate business information, access credentials, and assets required to perform services
• Review and approve deliverables in a timely manner as outlined in your service agreement
• Ensure all content, logos, and materials you provide to us are legally owned or licensed by you
• Pay invoices in accordance with agreed payment terms

4. Payment Terms

Recurring services are billed monthly in advance. One-time project services require a deposit as specified in your project proposal, with the balance due upon completion. Invoices unpaid after 15 days may result in service suspension. All fees are in USD.

5. Intellectual Property

Upon full payment, clients receive ownership of final deliverables including website files, creative assets, and media produced specifically for their project. ActiveMarketing.ai retains the right to display completed work in our portfolio unless otherwise agreed in writing.

Third-party tools, platforms, software licenses, stock media, and templates used in projects remain the property of their respective owners and are subject to their own licensing terms.

6. Confidentiality

Both parties agree to keep confidential any proprietary business information shared in the course of the engagement and not to disclose it to third parties without written consent.

7. Results Disclaimer

While we work diligently to achieve optimal results, we cannot guarantee specific marketing outcomes such as search engine rankings, ad performance, or revenue increases, as these depend on factors outside our control including market conditions, competition, and platform algorithm changes. We commit to transparent reporting and best-effort performance on all campaigns.

8. Limitation of Liability

ActiveMarketing.ai's total liability for any claim arising from our services shall not exceed the total fees paid by the client in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

9. Termination

Either party may terminate recurring service agreements with 30 days written notice. Project-based engagements may be terminated per the terms of the project proposal. Upon termination, client is responsible for fees incurred through the termination date.

10. Governing Law

These Terms shall be governed by the laws of the State of Florida. Any disputes shall be resolved in the courts of Lee County, Florida.
